License Agreement

IN THE EVENT THAT THE APPLICATION OF [LICENSEE ORG NAME] (“LICENSEE”, “LICENSEE”) IS APPROVED BY MUSIC THEATRE INTERNATIONAL (“MTI”), LICENSEE WILL BE NOTIFIED BY EMAIL AND THE FOLLOWING PERFORMANCE AND STREAMING LICENSE (THIS “LICENSE”) WILL SET FORTH THE TERMS AND CONDITIONS BY WHICH LICENSEE CAN PRESENT THE MUSICAL REVUE “ALL TOGETHER NOW!” (“REVUE”). 

BY CHECKING THE ACCEPTANCE CHECKBOX ON THIS LICENSE, THE PERSON COMPLETING THE APPLICATION ACKNOWLEDGES THAT SUCH PERSON:   

a)	has read and understands the terms and conditions of this License;  

b)	is authorized to accept the terms of this License on behalf of Licensee;  

c)	agrees to the terms and conditions of this License on behalf of Licensee; 

d)	represents and warrants on behalf of Licensee that the information provided in Licensee’s application is complete, truthful and accurate; 

e)	represents and warrants on behalf of Licensee that Licensee suffered an occurrence beyond the control of Licensee, whether natural, technological, or man-made, that rendered Licensee unable to use and/or materially hindered the ability of Licensee’s customers to access, Licensee’s theater for a period of seven (7) consecutive days; and/or (b) an occurrence approved by MTI (the “Disaster”); 

f)	agrees to MTI’s Standard Terms and Conditions and Privacy Policy (as described in Section D.6 below); and 

g)	agrees to inform the producer(s), director(s) and creative team of Licensee's production of the Revue of the terms and conditions of this License. 

 
A.	Rights Granted.  

 

1.	Production Rights. This License grants Licensee the non-exclusive, non-transferable, royalty-free right to produce a live stage production of the Revue and to livestream the performance live online to remote audience members both solely in accordance with the terms and conditions hereof.  The Revue includes compositions from musicals in the MTI catalog (“Songs”) along with an outline indicating the placement of Songs and suggestions for the content of interstitial speeches or remarks that can be tailored to suit Licensee's community.   

 

2.	Production Elements. Licensee may use choreography, sets and costumes in Licensee's production of the Revue, provided such elements are original work created and/or licensed by Licensee for Licensee's use in Licensee's production of the Revue. Licensee may not utilize any of the choreography, staging, direction, designs (including set, costume, video or projections), logos, or other intellectual property from any prior stage productions of or any film versions of the musicals in which the Songs originally appeared. The rights to all of those elements, in whole or in part, are owned by third parties and are not granted as part of this License. Notwithstanding the foregoing, Licensee is permitted to use the choreography for “Supercalifragilisticexpialidocious” provided to Licensee by MTI in the “ATN Materials” (as defined below).  

 

3.	Term. Licensee may present up to six (6) performances of the Revue within any consecutive thirty (30) day period. All performances of the Revue, whether presented live on stage or via livestreaming must take place within two (2) years of the final date on which the Disaster occurred. The dates of the performances set forth in Licensee's application cannot be changed without MTI’s prior written approval in each instance. 

 

4.	Audiovisual Rights. 

 

a.	This License grants Licensee permission to capture Licensee’s live stage production of the Revue, solely for the purpose of livestreaming the same on the on the CUR8.com streaming platform (“MTI Authorized Streaming Platform”) to remote audience members who have purchased tickets to view the stream through the MTI Authorized Streaming Platform (“Stream Viewers”). Licensee may livestream no more than six (6) performances of Licensee’s live stage production of the Revue solely to Stream Viewers broadcast live in real-time (each, a “Livestream”, and, collectively, “Livestreams”). Livestreams may be shown only live, although the MTI Authorized Streaming Platform will permit Stream Viewers a limited period of time to pause or restart from the beginning. All Livestreams may be distributed only via the MTI Authorized Streaming Platform, and streaming, broadcasting or any other distribution of the Revue is not permitted on any other platform or service (e.g., Licensee YouTube, Vimeo, Google Classroom, Facebook, Zoom or other social media). Licensee must make arrangements with the MTI Authorized Streaming Platform separately. Licensee acknowledges that the MTI Authorized Streaming Platform will be password-protected and will not permit downloading, copying or other duplication or redistribution of the Livestream. Except for the right to Livestream the Revue, no other streaming rights are granted in this License. For example, Licensee may not prerecord and/or edit a video of Licensee's production, and streaming a prerecorded video of Licensee's production at scheduled times or on-demand is not permitted.  

 

b.	Permission granted herein to Livestream the Revue is limited to MTI’s rights therein.  MTI cannot grant permission for others whose permission may be required such as performers, directors, choreographers, and designers as well as the theatre or venue owner. Licensee shall be solely responsible for obtaining all necessary releases and permissions from such personnel (including parents or legal guardians of minor children) and any applicable unions (e.g., Actors Equity, American Federation of Musicians, etc.). 

 

5.	Merchandise Rights. Licensee is authorized to create and sell merchandise incorporating the title and authorized logo of the Revue only provided to Licensee by MTI in the ATN Materials. Such merchandise may not include the titles or lyrics of any of the Songs, or any other intellectual property (including logos) associated with the Songs or the musicals in which the Songs appear and may not include the names, likenesses and/or trademarks of any of the authors and/or rightsholders of such Songs or musicals. 

 

B.	Materials/Delivery. 

 

1.	ATN Materials. Materials for the Revue will include the following, all of which will be provided free of charge to Licensees for use in accordance with the terms and conditions of this License (the “ATN Materials”):  

 

a.	Script (i.e., the outline of the Revue including the placement of Songs and alternative Songs for each slot; the placement of suggested speeches and suggestions of content for the speeches); 

b.	Piano/vocal score and orchestrations for each Song; 

c.	Logo Pack (i.e., a digital logo pack for the Revue’s official logo); 

d.	RehearScore® (App);  

e.	Performance Accompaniment tracks; 

f.	Choreography video for “Supercalifragilisticexpialidocious”; and 

g.	Billing requirements for the Revue. 

 

2.	Digital Delivery. In the event that MTI approves Licensee's application, Licensee will receive an approval email that will include an access code allowing Licensee to download the ATN Materials, and Licensee agree not to publicly distribute and/or share such access code with any individuals not affiliated with Licensee. All materials for the Revue will be delivered digitally. No printed materials will be available for the Revue.  

 

3.	Transpositions and Translations. While MTI has no objection to Licensee using transpositions, transpositions will not be available from MTI for the Revue.   

 

4.	Restrictions on ATN Materials. The ATN Materials provided by MTI may not be duplicated, published, distributed, posted and/or disseminated, in whole or in part, by any means, including, without limitation, online, except that Licensee may distribute print or digital copies of the materials to Licensee's cast and crew members solely for the limited purpose of producing the Revue in accordance with the terms and conditions of this License. Neither Licensee nor Licensee's creative team, cast members, musicians, stage crew etc. shall duplicate, publish, distribute, post and/or disseminate the materials on publicly available sites. All printed materials must be promptly collected, removed and destroyed, and all digital materials must be promptly deleted, at the conclusion of Licensee's production of the Revue. 

 

C.	Production Rules.  

 

1.	No Changes. The ATN Materials will include optional Songs that may be substituted only as permitted in the ATN Materials. Except for the optional Songs and any optional modifications specifically mentioned in the ATN Materials, no other substitutions, deletions or changes of any kind (including changes in the order of Songs) will be permitted. MTI will not consider any requests for modifications to the lyrics of the Songs, the list of Songs available for the Revue and/or any other changes to the content and/or format of the Revue. 

 

2.	No Replica Elements. Except for the choreography video for “Supercalifragilisticexpialidocious” provided by MTI in the ATN Materials, Licensee may not copy or otherwise use any of the designs, directions, choreography, artwork, or other intellectual property from the Broadway, West End or any other production(s) of the musical(s) and/or film(s) in which any of the Songs originally appeared.  

 

3.	Recording. Except for livestreaming specifically permitted by this License, MTI grants no rights to record, stream or distribute the Revue, the Songs and/or any portion of them by any means whatsoever. Licensee agrees to inform all audience members of the above prohibitions against recording the Revue by means of both a program note (including in emails providing access to livestream performances) and a pre-show announcement.   

 

4.	Logo and Billing. Licensee is required to reproduce the official Revue logo in all advertising and in all posters and programs exactly as provided in the ATN Materials. Licensee shall post the full billing credits for the Revue (as such credits appear in billing rider provided in the ATN Materials, and accessible at www.mtishows.com/billing) in programs and onscreen (if applicable), and shall follow all requirements as to order, size and wording of credits). If Licensee distributes a digital program to livestream ticket buyers, billing shall also be included in such program. 

 

5.	Sponsorship. Licensee agrees not to list any of Licensee's sponsors in connection with any advertising or promotion of the Revue if such sponsors do business in any of the following categories: alcohol, tobacco, and/or firearms. 

 

6	Nondisparagement. Licensee agrees not to make any statement that is likely to be disparaging, derogatory or cast a negative light on MTI, the Revue, the ATN Materials, the Songs, the authors and/or the rightsholders thereof. 

 

7.	Tickets. Licensee agrees to reserve two (2) complimentary tickets (if requested) for the use of MTI and the authors or rightsholders of the Songs for each performance. Licensee also agrees to provide two (2) free streaming tickets, if applicable, for the use of MTI and/or the authors or rightsholders. 

 

D.	General Terms and Conditions. 

 

1.	Compliance with Laws. Licensee agrees that Licensee shall comply with all federal or national, state or local laws applicable to Licensee’s production of the Revue, including any laws, regulations and ordinances pertaining to in-person gathering restrictions as well as any other rules or guidance regarding any public health emergency (or similar situation) which may impact any aspect of such production, including but not limited to Licensee’s rehearsals, performances and audience attendance. MTI makes no representation or assessment of the legality or prudence of Licensee’s decision to proceed with its production, nor shall MTI or the rightsholders be held liable for any claims arising out of Licensee’s decision to proceed with its production. 

 

2.	Reservation of Rights. All rights in and to the Revue other than those specifically licensed to Licensee hereunder are reserved to MTI and the rightsholders, with the unrestricted right to use, exploit or dispose of any of them at any time. 

 

3.	No Assignment. The rights granted by this License apply only to Licensee, and cannot be assigned, sub-licensed or transferred to any individual or organization without MTI’s prior written consent in each instance.	 

 

4.	Indemnification. To the extent permitted by applicable law, Licensee shall indemnify, defend (with counsel chosen by the applicable party being indemnified) and hold harmless MTI and the authors and other rightsholders of the Songs and the Revue from and against all charges, damages, costs, expenses (including reasonable outside attorney's fees), judgments, settlements, penalties, liabilities or losses of any kind or nature whatsoever suffered or incurred by MTI, the authors and other rightsholders of the Revue, and their respective parents, affiliates, subsidiaries, directors, officers, agents, employees, contractors, licensees, successors, and assigns arising out of any actual or threatened third-party action which relates in any way to Licensee’s live stage or streaming production of the Revue.  

 

5.	Governing Law. This License shall be governed by the laws of the State of New York, and any dispute arising out of or under this License shall be litigated only in the courts of the City or State of New York in the City of New York or the United States District Court in the Southern District of New York. This Paragraph D.5 shall not apply to any Licensee located in the United States that is a public school, university or other state or county agency and is subject to state or other local law prohibiting Licensee from entering into any contract that: (i) requires the application of law other than the law of Licensee’s jurisdiction in interpreting or enforcing the contract; or (ii) requires that any dispute under the contract be resolved in any court other than an appropriate court in Licensee’s jurisdiction. 

 

6.	PRIVACY POLICY. THIS LICENSE IS EXPRESSLY SUBJECT TO MTI’S STANDARD TERMS AND CONDITIONS AND PRIVACY POLICY AS IN EFFECT FROM TIME TO TIME.  MTI’S TERMS AND CONDITIONS AND PRIVACY POLICY ARE INCORPORATED BY REFERENCE INTO THIS LICENSE AS IF SET FORTH IN FULL HEREIN AND SHALL GOVERN ANY SITUATIONS NOT COVERED BY THIS LICENSE. THE CURRENT VERSION OF MTI’S TERMS AND CONDITIONS ARE ACCESSIBLE AT https://www.mtishows.com/legal AND ITS PRIVACY POLICY IS ACCESSIBLE AT https://www.mtishows.com/privacy-policy. 

 

7.	Surveys. Following the conclusion of Licensee's production, Licensee will receive a mandatory survey from MTI regarding Licensee's production of the Revue. The survey will request, among other things, number of performances presented; the number of tickets sold and number of attendees; funds raised (including donations); how Licensee intends to use the funds raised to mitigate the impact of the Disaster; age range of cast; merchandise sales, streaming and sponsorships; and final list of Songs used in Licensee's production. MTI requests that Licensee submit the survey as soon as possible following the end of Licensee's production of the Revue but in any event within two (2) weeks after Licensee's receipt thereof. MTI will maintain all sensitive data in confidence and in compliance with applicable data protection laws.
